On 3 May 2024, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1). This notification concerns the following undertakings: —Cooper Consumer Health S.A.S. (‘Cooper’, France), controlled by CVC Capital Partners SICAV-FIS S.A. (‘CVC’, Luxembourg), —The European over-the-counter business of Viatris Inc. (the ‘Target’, France and Italy). Cooper will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of the Target. The concentration is accomplished by way of purchase of assets. 2. The business activities of the undertakings concerned are the following: —Cooper is principally active in the manufacturing and distribution of OTC, consumer health and consumer self-care products, —The Target is the European OTC business of Viatris. The assets include a range of finished dose pharmaceuticals across, amongst others, body care, body cleansing, intimate hygiene, food supplements, homeopathics and baby hygiene. The acquired entities provide R&D, manufacturing and operational infrastructure support in connection with the assets. 3.
